Terms of Service
These Terms of Service constitute a legally binding agreement between you and YPD Technology Services FZCO governing your access to and use of our AI consulting services.

Acceptance & Scope
By accessing the YPD Technology Services website, initiating a discovery conversation, submitting an inquiry, or executing a Statement of Work with YPD Technology Services FZCO ("YPD," "we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms of Service ("Terms").
These Terms apply to all our services, including AI Readiness Audits, AI Workflow Automation, AI Training & Enablement, AI Customer Systems, and AI Strategy & Roadmap engagements, as well as all preliminary communications, proposals, and advisory interactions.
Where a signed Statement of Work (SOW) or Master Services Agreement (MSA) exists between YPD and the Client, those documents take precedence over these Terms on any point of conflict. These Terms govern all matters not specifically addressed in the SOW or MSA.

Eligibility
YPD Technology Services provides business-to-business (B2B) consulting services exclusively. To engage with YPD you must:
- Be at least 18 years of age
- Be duly authorised to represent and legally bind the business organisation on whose behalf you are engaging
- Not be prohibited by applicable law from receiving our services
- Provide accurate and complete information about your organisation and its requirements

Services
YPD provides the following core service lines. Exact scope, deliverables, timelines, and pricing for each engagement are defined in the applicable Statement of Work.
AI Readiness Audit
Structured assessment of your organisation's current AI capability, data readiness, workflow architecture, and opportunity landscape. Delivered as a written report with prioritised recommendations.
AI Workflow Automation
Design, build, and deployment of AI-powered automation systems for specific business processes — from intake through testing, integration, and handover.
AI Training & Enablement
Customised training programmes for teams and leadership on AI tools, workflows, and governance — delivered as workshops, modules, or ongoing advisory.
AI Customer System
Design and deployment of AI-powered customer-facing or customer-support systems, including conversational AI, recommendation engines, and automated service workflows.
AI Strategy & Roadmap
Executive-level strategic advisory on AI adoption, investment prioritisation, capability building, and competitive positioning — delivered as a structured roadmap document.
All services are founder-led. The YPD founder is directly involved in every engagement from discovery through final handover. Domain specialists may be engaged for specific assignments and operate under confidentiality obligations consistent with these Terms.

AI Technology Terms & Disclaimers
Nature of AI Services
AI systems, recommendations, and advisory outputs produced by or through YPD — including outputs from large language models — are based on available data, patterns, and modelling techniques. They are not guarantees of business outcomes, regulatory compliance, or operational performance. All AI-generated recommendations require human review and expert validation before implementation in critical business processes.
You agree to:
- Provide accurate and complete information when requested, as recommendation quality depends on input quality
- Apply independent judgement and seek qualified expert review before acting on AI-generated recommendations in high-stakes decisions
- Report any AI system outputs that appear incorrect, biassed, or inappropriate
- Not attempt to reverse-engineer, extract, or replicate YPD's proprietary AI models or prompt architectures

Intellectual Property
YPD Intellectual Property
YPD retains exclusive ownership of all proprietary methodologies, diagnostic frameworks, assessment tools, prompt architectures, base model configurations, reusable system components, and platform technologies developed prior to or independently of any client engagement ("YPD IP"). These are YPD's proprietary assets and are not transferred or licensed to clients except as expressly set out below.
Client Licence on Deliverables
Upon receipt of full payment for an engagement, YPD grants the Client a perpetual, royalty-free, non-exclusive, non-transferable licence to use the specific deliverables produced under that engagement solely for the Client's own internal business operations. This licence covers the delivered output — not the underlying YPD IP on which it is built.
Full IP Transfer
Where a Client requires full ownership and transfer of intellectual property rights in custom deliverables — including the underlying frameworks and system architecture — this is not covered under standard engagement terms and requires a separate commercial discussion with YPD prior to engagement commencement.
Client Data & Content
You retain full ownership of all data, content, documentation, and business information you provide to YPD. You grant YPD a limited licence to use this material solely to deliver the contracted services.

Confidentiality
YPD treats all client information — including business strategies, operational data, financial details, personnel information, and technical systems — as strictly confidential. This obligation:
- Applies to all personnel and specialists involved in your engagement
- Continues for five (5) years after the conclusion of the engagement
- Extends to discovery and scoping conversations, not only signed engagements
- Does not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority

Engagement & Statement of Work
Each consulting engagement is governed by a Statement of Work (SOW) agreed in writing prior to commencement. The SOW specifies scope, deliverables, timelines, milestones, acceptance criteria, and commercial terms. No work commences without a mutually signed SOW.
Changes to an agreed scope require a written Change Order signed by both parties before additional work begins. YPD reserves the right to adjust timelines and pricing in proportion to any scope changes.
Acceptance of deliverables is defined within each SOW. Where acceptance criteria are not met, YPD will address the identified gaps within a reasonable revision period as specified in the SOW, at no additional cost, provided the gap is within the original agreed scope.
YPD does not engage in non-solicitation of client personnel during an active engagement or for twelve (12) months following its conclusion. Clients make a reciprocal commitment regarding YPD personnel introduced during the engagement.

Payment Terms
All fees are denominated in UAE Dirhams (AED) unless otherwise specified in the SOW. Invoices are payable within the terms specified in the SOW (typically net-14 or net-30 days from invoice date).
Engagements are typically structured as milestone-based payments tied to agreed deliverable stages. A deposit (as specified in the SOW) is required before work commences.
YPD Technology Services FZCO is currently below the UAE VAT registration threshold. Invoices will clearly state applicable tax status. Should VAT registration become applicable, clients will be notified with reasonable advance notice.
Corporate Tax Registration No.: 105203337800001 (UAE Federal Tax Authority, effective 01 September 2025).
Late payments beyond agreed terms may attract a late payment charge as specified in the SOW, consistent with UAE commercial law. YPD reserves the right to pause active work on engagements with materially overdue invoices following written notice.
Refunds are not provided for completed and accepted deliverable milestones. Disputes regarding deliverable quality are addressed through the process set out in the SOW and Section 15 of these Terms.

Service Availability & Support
YPD operates Monday–Friday, 9:00 AM–6:00 PM Gulf Standard Time (GST / UTC+4). Website and AI advisory tools are available 24/7 subject to scheduled maintenance.
Post-delivery support terms for deployed AI systems are defined within each SOW. Standard engagements include a handover and transition period; extended support arrangements are available on separate commercial terms.
YPD is not liable for service disruptions caused by third-party infrastructure providers, client-side technical issues, or force majeure events. See Section 12 for liability limitations.

Acceptable Use
You agree to use YPD's services and website for lawful, legitimate business purposes only. The following are expressly prohibited:
- Using AI advisory tools to generate content that is illegal, harmful, defamatory, or in violation of third-party rights
- Attempting to extract, scrape, or reverse-engineer proprietary YPD algorithms, prompts, or AI model architectures
- Misrepresenting your organisation, authority, or business requirements
- Using YPD services for purposes that compete with YPD's own service offerings without prior written agreement
- Submitting data relating to third parties without appropriate authorisation from those parties
- Circumventing or attempting to disable any security or access control measures on our platform

Third-Party Services & Integrations
YPD may recommend or integrate third-party tools, platforms, or AI services as part of an engagement. YPD is not responsible for the performance, availability, security, or terms of third-party services. The Client is responsible for reviewing and accepting the terms of any third-party services used in their AI systems.
Where third-party integrations involve processing of personal data, appropriate data processing agreements between the Client and the third-party provider are the Client's responsibility, unless YPD has been contracted to manage this as part of the engagement scope.

Disclaimers & Limitation of Liability
Service Disclaimers
Services are provided on a best-efforts basis. YPD does not guarantee specific business outcomes, revenue increases, cost reductions, or operational improvements resulting from AI system deployment. AI recommendations are advisory in nature and require your organisation's own expert validation and implementation judgement. Final implementation decisions and their consequences remain with the Client.
To the fullest extent permitted by UAE law, YPD's aggregate liability to a Client for any cause of action arising from or relating to these Terms or any engagement shall not exceed the total fees paid by the Client to YPD in the twelve (12) months preceding the claim.
YPD is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational damage, whether arising in contract, tort, or otherwise — even if advised of the possibility of such damages.
Nothing in these Terms excludes liability for fraud, gross negligence, or wilful misconduct.

Indemnification
You agree to indemnify, defend, and hold harmless YPD Technology Services FZCO and its directors, employees, and engaged specialists from any claims, damages, costs, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or any applicable law
- Your misuse of YPD services or breach of intellectual property obligations
- Data or content you provided that infringes third-party rights or misrepresents your organisation
- Your implementation of AI system recommendations without appropriate human expert review or validation

Termination
Either party may terminate an active engagement by providing written notice as specified in the applicable SOW. In the absence of an SOW provision, thirty (30) days' written notice is required.
Upon termination: the Client is liable for fees corresponding to work completed to the termination date; YPD will deliver all completed work product to that date; ongoing confidentiality, IP, and indemnification obligations survive termination.
YPD may suspend or terminate services immediately and without notice in cases of material breach of these Terms, non-payment beyond agreed terms, or where continuation would require YPD to violate applicable law.

Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates, including:
- UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection)
- UAE Federal Decree-Law No. 34 of 2021 (Cybercrime)
- UAE Federal Law No. 15 of 2020 (Consumer Protection, where applicable)
- UAE Federal Law No. 1 of 2006 (Electronic Transactions)
- UAE Commercial Transactions Law (relevant commercial provisions)
For engagements with clients in India, the laws of India — including the Indian Contract Act 1872, Information Technology Act 2000, and Digital Personal Data Protection Act 2023 — apply as secondary jurisdiction to the extent they concern obligations within India.
Disputes shall be resolved by the following escalation process:

Modifications
YPD reserves the right to update these Terms. Material changes will be communicated by email to active clients and by updating the "Last Updated" date on this page, with at least 30 days' notice before taking effect. Continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.
Changes do not affect ongoing engagements governed by signed SOWs, unless agreed in writing by both parties.

These Terms of Service are effective as of May 2026 and governed by the laws of the United Arab Emirates. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
